01 / ACCEPTANCE AND ELIGIBILITY

Use of the website

These Terms and Conditions govern access to and use of the Cenqora Process website. By using the website, you acknowledge that you have read and understood these terms. If you use the website for a business or other organization, you represent that you have authority to act for that organization. If you do not agree, do not use the website.

The website is intended for persons who can enter legally binding agreements. It is not directed to children. Cenqora Process may revise or discontinue website features, correct content, or restrict access when reasonably necessary for maintenance, security, compliance, or business operations.

Website content is general information and is not legal, accounting, tax, cybersecurity, or regulatory advice. A description of a service or starting price is not an offer that can be accepted without review. A binding service engagement begins only when the parties approve a written scope or agreement identifying the work, price, responsibilities, and other material terms.

02 / SERVICES AND SCOPE

Defined work, defined boundaries

Cenqora Process provides practical AI-assisted and no-code workflow services, which may include email and notification automation, data entry and transfer automation, customer request routing, document and report generation, CRM process configuration, business-application integration, and monitoring or optimization. Available services depend on technical feasibility, provider permissions, data quality, the client's accounts, and the agreed scope.

An estimate shown on the website is a starting price, not a final quote. Project complexity may change based on the number of systems, branches, records, user roles, environments, approvals, exception paths, testing needs, documentation requirements, and third-party limitations. Monitoring priced per month is a recurring service separate from implementation unless a written scope says otherwise.

Changes requested after scope approval may require a change order, revised schedule, or additional fee. Cenqora Process may decline work that is unlawful, unsafe, technically unsupported, outside the company's expertise, dependent on prohibited platform behavior, or incompatible with reasonable security and operational controls.

03 / CLIENT RESPONSIBILITIES

Accurate information and authorized access

The client is responsible for providing timely, accurate, and complete requirements; identifying process owners and authorized approvers; securing rights to all data, accounts, content, and systems supplied for the work; maintaining valid third-party subscriptions; and reviewing outputs before using them in business operations. Delays in access, feedback, approval, or required decisions may change delivery dates.

The client must not provide access that exceeds what is reasonably needed. Administrative credentials should be shared through an agreed secure method, rotated when appropriate, and revoked when the engagement ends. The client remains responsible for its own cybersecurity program, data backups, access management, internal policies, legal notices, and compliance obligations.

The client must test workflows in a controlled environment when feasible and must not rely on automation as the sole control for decisions that could materially affect safety, legal rights, employment, credit, healthcare, financial assets, or other high-impact matters. Human review should be retained for material exceptions, uncertain inputs, and consequential decisions.

04 / FEES, INVOICING, AND TAXES

Commercial terms

Fees, deposits, milestones, recurring charges, and payment dates are established in the applicable proposal, order, or service agreement. Unless that document states otherwise, amounts are quoted in US dollars, are exclusive of applicable taxes, and are based on the scope known at the time of quotation. The client is responsible for applicable sales, use, value-added, or similar taxes other than taxes on Cenqora Process income.

Work may be paused if an invoice is overdue, required access is unavailable, or the client has not provided a decision needed to proceed. Pausing a project does not automatically cancel amounts already earned or committed third-party costs. Recurring monitoring may renew for the period stated in the applicable agreement until properly canceled under that agreement and the Cancellation and Complaints Policy.

05 / INTELLECTUAL PROPERTY AND CONFIDENTIALITY

Ownership of materials

Each party retains ownership of material it owned or developed independently before the engagement. Subject to full payment and the written scope, the client may receive the rights stated there in client-specific deliverables. Cenqora Process retains rights in reusable methods, general know-how, templates, utilities, non-client-specific logic, process patterns, and improvements that do not disclose the client's confidential information.

Third-party software, platforms, code, fonts, images, and other materials remain governed by their respective licenses and terms. No service agreement transfers ownership of a third-party product. The client is responsible for keeping a usable copy of final deliverables and for maintaining any third-party licenses needed to operate them.

Each party should protect nonpublic business, technical, financial, and customer information received from the other and use it only for the engagement. Confidentiality does not apply to information that is publicly available without breach, already lawfully known, independently developed, rightfully received from another source, or required to be disclosed by law subject to legally permitted notice.

06 / THIRD-PARTY SYSTEMS AND AUTOMATION OUTPUT

Dependencies outside direct control

Automations may depend on APIs, webhooks, permissions, field definitions, rate limits, subscriptions, authentication methods, and availability controlled by third parties. Those providers may change, suspend, restrict, or discontinue functionality without notice to Cenqora Process. Such changes may require reconfiguration, replacement services, additional fees, or termination of an affected route.

No automation is guaranteed to run without interruption or produce correct output from incomplete, inaccurate, ambiguous, or changed input. Monitoring reduces risk but does not eliminate it. The client should maintain appropriate backups, exception queues, review procedures, and manual fallback steps for business-critical processes.

07 / DISCLAIMERS, LIABILITY, AND DISPUTES

Reasonable allocation of risk

To the maximum extent permitted by law, the website is provided on an “as available” basis without warranties of uninterrupted access, error-free operation, merchantability, fitness for a particular purpose, or noninfringement. Services are governed by the warranties, if any, stated in the applicable written agreement.

To the maximum extent permitted by law, Cenqora Process will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages; loss of profits, revenue, data, goodwill, or business opportunity; or failures caused by client systems, unauthorized changes, third-party providers, or events beyond reasonable control. Any aggregate liability arising from a specific paid engagement should be limited as stated in the governing service agreement. Nothing in these terms excludes liability that cannot legally be excluded.

The parties should first attempt in good faith to resolve a dispute through written notice and direct discussion. Applicable law, forum, arbitration, and other dispute procedures, if required, will be identified in the signed agreement. If no separate agreement applies, these terms are governed by the laws applicable in Colorado, without giving effect to conflict-of-law principles, subject to mandatory consumer or jurisdictional rights.

08 / GENERAL TERMS AND CONTACT

Entire understanding for website use

If a provision is unenforceable, it will be limited to the minimum extent necessary and the remaining provisions will continue. Failure to enforce a provision is not a waiver. Headings are for convenience only. A signed service agreement controls over these website terms when the documents conflict regarding a paid engagement.
